Artilora Affiliate Program Terms and Conditions

1. Introduction

Welcome to the Artilora Affiliate Program (the “Program”). These Terms and Conditions (“Terms”) govern your participation in the Program offered by ARTILORA PTE. LTD. (“Artilora”, “we”, “us”, or “our”), with its registered address at 6 RAFFLES QUAY #14-02 Singapore 048580.

By participating in the Program, you (“Affiliate”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the Program.

2. Program Overview

The Artilora Affiliate Program allows eligible participants to earn commissions by promoting Artilora’s products and services through unique referral links and promotional codes.

2.1 Program Types

Affiliate Program: Open to all eligible participants. Default commission rate: 25%.
Influencer Program: For content creators with significant reach. Commission rates vary based on performance and agreement.
Ambassador Program: Invite-only program for select partners. Higher commission rates and additional benefits.

3. Eligibility

3.1 Requirements

To participate in the Program, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have a valid Artilora account
Comply with all applicable laws and regulations
Not be located in a jurisdiction where participation is prohibited
Provide accurate and complete information during registration

3.2 Prohibited Activities

You may not:

Use spam, unsolicited emails, or other prohibited marketing practices
Create fake accounts or engage in fraudulent activities
Misrepresent Artilora’s products or services
Violate any intellectual property rights
Engage in any activity that could harm Artilora’s reputation

4. Application and Approval

4.1 Application Process

Affiliate applications are automatically approved if all required information is provided
Influencer and Ambassador applications require manual review
We reserve the right to reject any application at our sole discretion

4.2 Account Status

Pending: Application is under review
Approved: Application approved, you can start promoting
Active: Account is active and earning commissions
Disabled: Account temporarily or permanently disabled

5. Promotional Materials and Guidelines

5.1 Use of Promotional Materials

You may use Artilora’s promotional materials (logos, banners, etc.) solely for the purpose of promoting Artilora
All promotional materials must be used in accordance with our brand guidelines
You may not modify Artilora’s trademarks or logos without prior written consent

5.2 Promotional Guidelines

All promotional activities must comply with applicable laws and regulations
You must clearly disclose your affiliate relationship with Artilora
You may not make false or misleading claims about Artilora’s products or services
You must comply with all applicable advertising and marketing regulations

6. Commissions

6.1 Commission Structure

Commission rates are determined by your program type and may be adjusted based on performance
Commissions are calculated based on qualifying sales made through your referral links or promotional codes
Commission rates and payment terms are detailed in the Commission Policy

6.2 Qualifying Sales

A sale qualifies for commission if:

The customer clicks through your unique referral link or uses your promotional code
The sale is completed within the tracking period (typically 30 days)
The sale is not refunded or cancelled
The customer is not using another affiliate’s link or code

7. Payment

7.1 Payment Terms

Commissions are paid monthly
Minimum payout threshold: $50 USD (or equivalent)
Payment methods: Bank transfer, Stripe, or other methods as agreed
Payments are processed within 30 days of the end of each month

7.2 Tax Obligations

You are responsible for all taxes related to your commission earnings
We may be required to collect tax information depending on your jurisdiction
You must provide accurate tax information when requested

8. Term and Termination

8.1 Term

These Terms remain in effect until terminated by either party.

8.2 Termination

Either party may terminate this agreement at any time with or without cause, with or without notice.

8.3 Effect of Termination

Upon termination:

You must immediately stop using Artilora’s promotional materials
You will receive payment for commissions earned prior to termination
All rights and licenses granted to you will immediately cease

9. Intellectual Property

9.1 Artilora’s Intellectual Property

All intellectual property rights in Artilora’s products, services, and promotional materials remain the exclusive property of Artilora.

9.2 Your Content

You retain ownership of your promotional content, but grant Artilora a non-exclusive license to use, reproduce, and distribute such content for promotional purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTILORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Artilora and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your participation in the Program or violation of these Terms.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the affiliate dashboard. Your continued participation in the Program after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
